Terms of Service
Operational draft for legal review. These terms have not yet been reviewed by a lawyer and are not legal advice. Passages marked [for legal review] must be settled by that review before the terms are final.
1. Agreement
These terms are an agreement between you and Companio Pty Ltd ("we", "us", "our"), the operator of CarouselForge, established in New South Wales, Australia. By creating an account or using CarouselForge, you agree to these terms and to the Privacy Policy. While CarouselForge is in its closed beta, the Closed Beta Terms also apply; where they conflict with these terms, the beta terms win.
If you use CarouselForge on behalf of a company or another organisation, you confirm that you are authorised to accept these terms for it, and "you" includes that organisation.
2. Who can use CarouselForge
You must be at least 18 years old and able to enter a binding contract. CarouselForge is a professional tool for creating marketing content; it is not intended for consumers or children.
3. Beta status
CarouselForge is currently available by invitation only. Features are incomplete, may change or be removed, and the service may be interrupted or end. The Closed Beta Terms explain what that means for you.
4. Your account
- Give accurate account information and keep it up to date.
- Keep your password secret. You are responsible for what happens under your account.
- Tell us promptly at support@companio.ai if you think someone else has accessed your account.
- One person per account. Do not share or resell access.
5. Your content
"Your content" means the material you put into CarouselForge (such as source material, prompts, chat messages, brand details, and images) and the output CarouselForge generates for you.
- You keep your rights. As between you and us, you own your content. We claim no ownership of it.
- Permission to run the service. You give us a worldwide, non-exclusive, royalty-free permission to host, copy, process, transmit, and display your content only as needed to operate, secure, and support CarouselForge for you. That includes sending it to the service providers listed in the Privacy Policy, for example AI model providers. This permission ends when your content is deleted, except for copies we must keep by law and copies already held by providers under their own terms.
- Your responsibility. You confirm that you have the rights and permissions needed to use your input material this way, including any client material, and that your content does not break the law or anyone else's rights.
- Confidential material. During the beta, do not put confidential client data, other people's personal data, credentials, or regulated data into CarouselForge (see the Closed Beta Terms).
6. AI-generated output
- CarouselForge uses AI models to produce campaign angles, copy, and images. Output can be wrong, misleading, incomplete, out of date, or similar to output produced for other people.
- Review everything before you publish it. You are responsible for what you publish, including factual claims, testimonials, statistics, and compliance with advertising rules and platform policies.
- We do not promise that output is unique, free of third-party rights, or fit for any particular purpose. [for legal review: ownership and IP status of AI-generated output in the operator's jurisdiction, and any pass-through restrictions from provider terms.]
- Do not present AI-generated content as if a real person said, endorsed, or experienced something they did not.
7. Acceptable use
You must not use CarouselForge to:
- break the law, or help someone else do so;
- create content that infringes intellectual property or privacy rights, defames people, or impersonates someone;
- create sexual content involving minors, content that promotes violence or terrorism, or harassment and hate content;
- create deceptive content such as fake reviews, fake testimonials, or misleading health, financial, or earnings claims;
- send spam or run automations that break Instagram's, Meta's, or ManyChat's rules;
- probe, overload, or bypass CarouselForge's security, rate limits, or access controls, or access other users' data;
- scrape the service, reverse-engineer it, or use it to build a competing product;
- break the usage policies of the AI providers CarouselForge relies on, such as Anthropic's usage policy.
The Closed Beta Terms add beta-specific rules. We may remove content or suspend accounts that break these rules.
8. Third-party services and your own API keys
- CarouselForge works with third-party services such as Instagram (Meta) and ManyChat. Your use of those services is governed by their terms, and we are not responsible for them.
- If you add your own API key for a provider such as Anthropic, Google Gemini, Pexels, or fal.ai, requests CarouselForge makes for you use that key. You are responsible for the charges that provider bills to your key and for complying with its terms.
9. Publishing to Instagram
- When you connect Instagram, you authorise CarouselForge to publish to your account the content you approve, at the time you choose.
- Publishing is irreversible from CarouselForge's side: once a post is live, removing it has to be done in Instagram. Scheduled posts can be changed or cancelled in CarouselForge until they start publishing.
- If Meta's response leaves it unclear whether a post went out, CarouselForge stops and asks for the outcome to be checked rather than posting again, so a post is not duplicated.
- You are responsible for the content you publish and for complying with Instagram's and Meta's terms.
10. Fees
Any fees for CarouselForge will be agreed with you in writing before they apply. We will not charge you without your agreement. Charges from third-party providers for API keys you supply are between you and that provider.
11. Changes, suspension, and termination
- We may change, suspend, or discontinue all or part of CarouselForge. During the beta this can happen without notice.
- We may suspend or close your account if you break these terms, if your use creates risk for others, or if the law requires it.
- You can stop using CarouselForge at any time and ask us to delete your account (see Deleting projects and your account).
- Sections that by their nature should survive termination (such as content responsibility, disclaimers, limitation of liability, and indemnity) survive it.
12. Our intellectual property
CarouselForge, its software, design, and branding belong to us or our licensors. These terms do not give you any right to them other than to use the service as these terms allow. If you send us feedback, the feedback terms in the Closed Beta Terms apply.
13. Disclaimers
[for legal review — the text below is a placeholder that must be checked against consumer-protection and other mandatory law in each jurisdiction where CarouselForge is offered.]
CarouselForge is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation.
14. Limitation of liability
[for legal review — the caps, exclusions, and carve-outs below are placeholders. Nothing here may limit liability that cannot be limited by law, such as for death or personal injury caused by negligence, or for fraud.]
To the extent the law allows, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from your use of CarouselForge. Our total liability for all claims relating to CarouselForge is limited to the greater of the amount you paid us for the service in the twelve months before the claim and [amount for legal review].
15. Indemnity
[for legal review — scope and enforceability of this indemnity.]
You will defend and indemnify us against third-party claims arising from your content, your publications, or your breach of these terms, except to the extent a claim is caused by our own breach of these terms.
16. Governing law and disputes
These terms are governed by the laws of New South Wales, Australia, and the courts there have jurisdiction over disputes, unless mandatory law where you live says otherwise. Before starting formal proceedings, please contact us at support@companio.ai so we can try to resolve the issue. [for legal review: governing law, venue, and any arbitration or consumer dispute requirements.]
17. Changes to these terms
The version and effective date at the top of this page identify the terms you are reading. If we make a material change, we will tell you by email or in the app before it takes effect. If you keep using CarouselForge after a change takes effect, the new terms apply; if you do not agree, stop using the service and ask us to delete your account.
